Description

Introduction

In an organisational environment characterised by increasing requirements for transparency, sustainable performance, risk control and accountability, governance is a structuring lever for ensuring alignment between the organization’s purpose, its strategy, its value creation model and the expectations of its interested parties.

ISO 37031:2021 is part of the body of organisational governance reference standards and provides guidelines for assessing, structuring and improving governance practices, in line with the principles of purpose, value generation, strategy, oversight, internal control, ethics, responsibility and continuous improvement.

This certification pathway is designed to support board members, members of governance bodies, executive management, compliance officers, risk managers, internal auditors, quality managers, legal professionals and support functions in understanding, implementing and evaluating a governance framework aligned with the recommendations of ISO 37031:2021.

Through a progressive approach, participants will analyse the governance mechanisms applicable to organizations: clarification of purpose, definition of roles and responsibilities, delegation of authority, strategic oversight, risk management, information-based decision-making, performance control, reporting, assurance and improvement of practices.

They will learn to map interested parties, assess the maturity of the governance system, identify gaps between existing practices and the standard’s guidelines, formulate operational recommendations and prepare governance audits or assessments based on documented evidence.

Objectives
  • Understand the governance principles applicable to organisations and their relationship with purpose, values, strategy and the value creation model.

  • Master the ISO 37031:2021 guidelines relating to the assessment, steering, oversight and improvement of governance practices.

  • Identify the roles, responsibilities, delegations, control mechanisms and accountability arrangements required for the effective functioning of governance bodies.

  • Assess the coherence between strategic objectives, risks, compliance obligations, interested-party expectations and governance performance indicators.

  • Prepare, conduct and document an assessment or audit of governance practices using an approach based on evidence, process analysis and continuous improvement.

At the end of this pathway, participants will have the methodological and operational knowledge required to contribute to the design, steering, assessment and improvement of a governance framework aligned with ISO 37031:2021, integrating requirements relating to purpose, decision-making transparency, accountability, oversight, risk control, compliance and sustainable performance.
