Conditions générales de la House of Training régissant les inscriptions aux « Formations catalogue »


Préambule 

La House of Training, Fondation avec siège statutaire à 7, rue Alcide de Gasperi, L- 1615 Luxembourg, inscrite au Registre de Commerce et des Sociétés de Luxembourg sous le numéro G22, désignée ci-après par « HoT » propose ses services aux entreprises, institutions, fédérations professionnelles et aux particuliers dans le domaine de la formation professionnelle continue.

La HoT a été agréée organisme de formation professionnelle continue par Arrêté ministériel du 16 décembre 2015.

L’offre de formation de la HoT comporte un éventail de formations diverses ouvertes au public et consultables sur le site internet de la HoT régulièrement mis à jour, ci-après les « Formations catalogue ».

Article 1er. Objet et champ d’application 

Les présentes conditions générales, ci-après les « Conditions générales » s’appliquent à l’inscription aux Formations catalogue, à la délivrance de ces formations, aux modalités de ces formations sous l’égide de la HoT, ainsi qu’aux droits et obligations de la HoT et du Client. Le Client peut être aussi bien une personne morale inscrivant ses employés à une formation ou une personne privée s’inscrivant elle-même à une formation. Les employés ainsi que les clients-personnes privées peuvent être qualifiés ensemble ci-après « d’apprenants ».

En s’inscrivant à une formation, le Client atteste avoir pris connaissance des Conditions générales et adhère à celles-ci pour la durée des relations contractuelles liées aux Formations catalogue.

Si la formation suivie comprend en partie ou en entier des modules « e-learning », les conditions générales afférentes à cette partie « e-learning » s’appliquent. Celles-ci sont formulées ci-dessous à la suite des présentes conditions.

La HoT se réserve le droit de réviser les Conditions générales dont la mise à jour sera publiée sur le site internet de la HoT.

Les Conditions générales s’appliquent, sans préjudice de conditions contractuelles particulières relatives aux formations avec un Client qui priment les présentes Conditions générales.

Article 2.  Communications 

Les communications du Client relatives à l’exécution de toute inscription à une formation sont à adresser par écrit sous forme de courriel ou par courrier postal à l’adresse de la HoT comme suit :

Les communications de la HoT au Client se font par courriel, par courrier ou par tout autre outil de communication permettant une transmission écrite des informations.

Article 3.   Attributions et devoirs de la House of Training 

La HoT est le gestionnaire et le coordinateur de toutes les Formations catalogue. A ce titre, elle assure la gestion administrative, la tenue des formations, la logistique et la gestion financière des activités de formation. Plus particulièrement, elle assure la relation avec le formateur, la planification de la formation, la réservation de salle, les inscriptions et confirmations, l’encadrement des formateurs et des Clients, les examens le cas échéant, les attestations et les certificats. 

Le Client reconnaît avoir connaissance du programme des Formations catalogue, et que la HoT ne peut être tenue responsable de quelque manière que ce soit de l’inadéquation du contenu de la formation par rapport au profil des apprenants individuellement ou collectivement désignés par le Client. Les formations délivrées sous l’égide de la HoT ne sauraient tenir lieu de conseil ou d’avis juridique.

La HoT est autorisée à sous-traiter partiellement ou totalement l'exécution des prestations objets du présent contrat. Tous droits et obligations du Client qui en découlent ne valent qu'à l'égard de la HoT laquelle demeure responsable à l'égard du Client de toutes les obligations résultant du présent contrat.

Les formateurs sélectionnés par la HoT ne sont pas les commettants de la HoT et ne sont pas liés par un contrat de travail à la HoT. 

La HoT maintient un programme d’évaluation interne des formations et des formateurs. 

Article 4.   Modalités d'inscription  

L’inscription aux Formations catalogue se fait en ligne sur le site de la HoT ou par écrit, sous réserve de l’accord de la HoT, dans la limite des places disponibles, à l’adresse :

Un accusé de réception de la demande d’inscription est envoyé par la HoT à l’adresse électronique du Client (et de l’apprenant s’il diffère du Client). 

Endéans les cinq jours calendrier avant la date de la formation, le Client (et l’apprenant s’il diffère du Client) recevra par courriel une confirmation de la session et de l’inscription avec les informations pratiques relatives à la formation, dont les horaires exacts et le lieu de la formation. 

Article 5.   Modalités de formation 

La HoT est libre d’utiliser les méthodes et outils pédagogiques de son choix, qui relèvent de sa seule compétence.

Pour assurer la qualité de la formation, un nombre minimum et un nombre maximum de participants peuvent être définis pour chaque formation. 

Les durées des formations sont précisées sur le site de la HoT. 

Sauf indication contraire et/ou cas de force majeure, les Formations catalogue de la HoT sont assurées au Centre de Formation, sis dans les locaux de la Chambre de Commerce au n° 7, rue Alcide de Gasperi, L-1615 Luxembourg. Les participants aux formations sont tenus de respecter le règlement intérieur des lieux. Si la formation se déroule hors du Centre de Formation de la Chambre de Commerce, les participants sont tenus de respecter en outre le règlement intérieur de l'établissement d'accueil. 

La HoT se réserve le droit, sans indemnité de quelque nature que ce soit, d'exclure à tout moment, tout participant dont le comportement gênerait au bon déroulement de la formation et/ou manquerait gravement au règlement intérieur.

Article 6.   Prix de la formation 

Les prix des Formations catalogue sont affichés sur le site de la HoT.

Le paiement d’une formation ou d’un parcours de formation commencé est dû dans son intégralité.

Les frais liés aux outils, matériels pédagogiques (dont les dossiers documentaires et les supports numériques), location de salle, frais de déplacement et d’hébergement des formateurs sont compris dans le prix des Formations catalogue.

Article 7.  Conditions de paiement 

Le paiement des Formations catalogue est à effectuer par carte de crédit lors de l’inscription en ligne sur le site internet de la HoT précité au prix de la formation, affiché sur ce site. 

A la demande écrite du Client, sous réserve de l’accord de la HoT, le paiement peut encore être effectué par virement bancaire au compte de la HoT sur base de la facture électronique émise par la HoT dans un délai de trente jours (date de facture). 

Toute demande de modification d’adresse de facturation ultérieure à la date d’émission de la facture initiale, engendrera des frais administratifs additionnels de quarante-cinq euros.

Article 8.   Annulation, modification ou report des formations par la HoT 

La HoT se réserve le droit de remplacer un formateur défaillant par une personne aux compétences techniques et pédagogiques équivalentes.

En cas de force majeure ou d’empêchement du formateur ou lorsque le nombre de participants à une formation est insuffisant, la HoT se réserve le droit d'annuler, de changer la méthode de formation (présentiel / distanciel) ou de reporter une formation et/ou séance de la Formation catalogue. La HoT en informe le Client par courriel, au plus tard cinq jours calendrier avant la date de la formation, hormis en cas de force majeure survenant dans les 5 jours avant la date de la formation. Dans ce dernier cas, la HoT informe le Client dans les meilleurs délais.

Au cas où la formation à reporter ne ferait pas l’objet d’une nouvelle planification dans un délai de six mois, le Client sera remboursé du montant payé pour la formation annulée.

Article 9.   Annulation, report de participation ou remplacement du participant par le Client 

Le Client peut annuler par courriel une inscription à une formation sans frais pendant quatorze jours calendrier à partir de son inscription, sans préjudice des dispositions qui suivent en ce qui concerne les dates planifiées des formations. 

Le Client peut encore demander par courriel l'annulation de sa participation à une formation, sans frais, si la demande formulée par courriel parvient à la HoT au moins dix jours calendrier avant la date de la formation. Dans ce cas, le Client sera remboursé du montant payé.

Dans les deux premiers cas de figure (al.1 et 2) le Client sera tenu de rembourser à la HoT les frais déjà engagés, cas échéant (exemple : inscription à une plateforme e-learning, …). 

Si l’annulation intervient moins de dix jours calendrier qui précèdent la date de la formation, la HoT facturera 100% du prix de la Formation catalogue.

Dans tous les cas, la HoT émettra un accusé de réception des demandes d’annulation du Client.

En cas d'absence à la formation, de retard, de participation partielle, d'abandon ou de cessation anticipée pour tout autre motif que la force majeure dûment reconnue, le Client sera redevable de l'intégralité du montant de la formation.

En cas d’absence pour raisons de santé justifiée par un certificat médical, ou en cas de situation exceptionnelle (drame personnel, déménagement à l’étranger, changement professionnel), reçu/annoncé endéans les 5 jours calendrier suivant l’absence, le Client (ou le participant défaillant du Client-personne morale) pourra reporter son inscription sur la prochaine session programmée, ou le Client pourra demander le remboursement de la formation. A défaut de certificat médical, le Client sera redevable de l’intégralité du montant de la formation. 

Le Client personne morale peut demander par courriel le remplacement d’un participant ou le report de sa participation à une autre session de formation, figurant déjà au planning accessible sur le site, vingt-quatre heures avant la formation. La demande de remplacement ou de report doit parvenir par courriel à la HoT et indiquera les coordonnées du remplaçant et de la personne remplacée ou de la date de la session de formation à laquelle l’inscription est à reporter. La HoT chargera quarante-cinq euros de frais administratifs pour ce changement.

Le Client personne physique peut demander par courriel le report de sa participation à une autre session de formation, figurant déjà au planning accessible sur le site, vingt-quatre heures avant la formation. La demande de report doit parvenir par courriel à la HoT et indiquera la date de la session de formation à laquelle l’inscription est à reporter. La HoT chargera quarante-cinq euros de frais administratifs pour ce changement.

Article 10.   Report d’un examen par le Client 

Le Client peut demander le report de la session d’examen à laquelle il s’est inscrit et à laquelle il ne peut pas participer en cas d’évènement imprévu (force majeure, maladie avec certificat). Un montant de 50 euros lui sera facturé afin de couvrir les frais administratifs engagés par la HoT. 

Article 11.   Attestations et certificats 

L'attestation de participation individuelle à une Formation catalogue est disponible sur le portail Client et/ou le portail Apprenant de la HoT.

Concernant l’apprenant inscrit par un Client personne morale (càd son employeur), les certificats de réussite aux examens et/ou les notes de l’apprenant sont envoyés, à la discrétion du Client-personne morale, à celui-ci et/ou à l’apprenant selon demande spécifique préalable, par courriel, par courrier postal ou par tout autre outil de communication permettant une transmission écrite des informations.

Pour des raisons liées à la protection des données personnelles du Client, le document matérialisant une reconnaissance officielle (certificat, titre, diplôme) transmis à l’apprenant à l’issue d’un parcours de formation à la HoT, pourra seulement être dupliqué, sur demande écrite de la personne concernée, pendant une durée maximale de 10 ans à partir de la réussite d’un examen / d’une formation. La HoT ne garde pas ces certificats au-delà de cette période et plus aucun duplicata ne pourra par conséquent être émis ultérieurement.

Article 12.   Propriété intellectuelle, droits d'auteur et droit à l’image 

Les supports de cours mis à disposition du Client dans le cadre de la Formation catalogue sont la propriété de la HoT ou de l’auteur suivant le cas. Ils ne peuvent être reproduits partiellement ou totalement sans l'accord exprès de la HoT et/ou de l’auteur. 

L'ensemble des textes, commentaires, ouvrages, illustrations et images reproduits sur ces supports sont protégés par des droits de propriété intellectuelle. Toute autre utilisation de ces supports par le Client ou les apprenants que celle prévue aux fins de la formation est soumise à autorisation préalable de la HoT et/ou de son auteur sous peine de poursuites judiciaires.

Dans une optique de préservation des droits de propriété intellectuelle et du droit à l’image des formateurs et des participants, il est rigoureusement interdit au Client, respectivement à l’apprenant, d’enregistrer ou de filmer les sessions de formation que celles-ci soient en présentiel ou à distance. 

Article 13.   Protection des données 

Le Client accepte le traitement de ses données personnelles (ou de celles de ses employés qu’il aurait inscrits à une formation) pour les besoins de l’exécution de sa relation contractuelle avec la HoT. 

Le Client (personne morale) inscrivant des employés de sa société à une formation de la HoT, atteste prendre les mesures nécessaires pour informer ces employés sur le traitement de leurs données personnelles, respectivement de leur avoir fourni les informations légalement requises au cas du transfert de données à la HoT au plus tard à l’inscription à la formation. 

La matière relative à la protection des données fait l’objet d’une note informative spécifique, accessible sous la rubrique « Protection des données personnelles » figurant sur le site internet de la HoT. 

Article 14.   Responsabilité 

Sans préjudice de l’article 3 al. 2 et 4, la HoT pourra être tenue responsable de tout dommage direct subi par le Client et résultant de l’exécution de la présente relation contractuelle sous réserve des dispositions suivantes.

L’indemnité due au Client, en réparation de son préjudice, ne pourra dépasser le montant correspondant aux sommes versées par le Client à la HoT au titre de l’année civile pendant laquelle le dommage a eu lieu.

La HoT ne peut être tenue responsable de quelque manière que ce soit de l’inadéquation du contenu de la Formation catalogue par rapport aux participants désignés par le Client individuellement ou collectivement.

Le Client ne pourra faire valoir une réparation d’un préjudice quelconque résultant d’une annulation d’une Formation catalogue par la HoT.

Article 15.   Renonciation 

Le fait pour la HoT de ne pas se prévaloir à un moment donné de l’une quelconque des clauses du présent contrat, ne peut valoir renonciation à se prévaloir ultérieurement de ces mêmes clauses. 

Article 16.   Nullité d’une clause 

Si l’une quelconque des dispositions des présentes Conditions générales devait être nulle ou déclarée telle par un tribunal, cette nullité n’entraînerait pas la nullité des autres dispositions qui demeureront en vigueur. 

Article 16. Réclamations 

Toute réclamation relative à l’exécution des Formations catalogue ou des présentes conditions générales devra être formulée par écrit dans un délai de huit jours calendrier après la date de fin de formation. Le courrier doit faire l’objet d’un accusé de réception pour être valable. 

Toute réclamation portant sur un examen devra être formulée par écrit dans un délai de huit jours calendrier après l’obtention des résultats de l’examen. Le courrier doit faire l’objet d’un accusé de réception pour être valable.

Article 18.  Loi applicable et juridiction compétente  

Les présentes Conditions générales et leur exécution sont régies par le droit luxembourgeois. 

Les tribunaux du Luxembourg sont seuls compétents.

Conditions générales spécifiques à l’utilisation des modules « e-learning » de la House of Training 

Préambule

Le Client - personne morale inscrivant ses employés ou personne physique souscrivant une formation à titre individuel à ses frais - de la House of Training (HoT) qui, en souscrivant à une formation de la HoT a adhéré aux Conditions Générales de vente régissant les formations Catalogue et/ou sur mesure, est tenu au respect des présentes conditions si son parcours de formation intègre des modules e-learning.

Le Client personne morale inscrivant ses employés à une formation HoT, est tenu d’informer les employés qu’il inscrit de ses droits et obligations visés par les présentes conditions générales. En tant que signataire d’une relation contractuelle avec la HoT, c’est à lui que revient la responsabilité des actes de ses employés vis à vis de la HoT.

Article 1er. Champ d’application des conditions générales spécifiques à l’utilisation de moludes e-learning

Le parcours de formation commandé par le Client peut intégrer des modules de formation e-learning. La présence, le cas échéant, de tels modules sera détaillée dans le catalogue ou dans l’offre de formation.

Les présentes conditions générales s’appliquent dès lors aux modules de formations e-learning compris dans le catalogue de Formation ou dans l’offre de formations sur mesure transmise au Client.Le fait de souscrire à une offre de formation sur mesure ou de s’inscrire à une formation catalogue intégrant des modules en e-learning, implique l’adhésion pleine et entière du Client (et de l’apprenant s’il diffère du Client) aux présentes conditions générales, sans préjudice des conditions générales régissant les formations Catalogue et les formations sur mesure.

Article 2. Conditions tarifaires

Les frais liés à l’inscription sur une plateforme e-learning externe sont inclus dans le prix affiché respectivement dans l’offre de services sur mesure. 

Tel que prévu sous les Conditions générales catalogue et sur-mesure, en cas d’annulation d’un parcours de formation comprenant un module e-learning, les frais engagés par la HoT pour l’inscription à ce module sont dus dans leur intégralité.

Article 3. Modalités d’utilisation du service “e-learning”

3.1. Prérequis techniques

Le Client devra s’assurer préalablement, et durant toute l’utilisation du service, de la compatibilité permanente de son environnement technique (y compris le réglage adéquat des systèmes de pare-feu/antivirus) avec la plateforme e-learning annoncée par la HoT. Il ne pourra pas se prévaloir vis-à-vis de la HoT d’une incompatibilité technique, entrainant notamment le blocage de notre plateforme (par exemple suite à l’évaluation de la plateforme e-learning, par le système de sécurité du Client, comme étant une menace « phishing »), impliquant un défaut d’accès aux modules de formation.

3.2. Droit d’usage personnel de la licence et inaliénabilité

Sauf clauses particulières expresses contraires couvrant notamment le cas des sociétés liées au sein d'un groupe de sociétés, la licence d'utilisation des cours e-learning est concédée au seul Client ayant signé le bon de commande. Dans le cas d’un Client personne morale faisant partie d’un groupement de sociétés, la licence ne pourra être utilisée que par la société ayant signé l’offre de formation (et/ou le contrat le cas échéant), plus précisément par la personne physique désignée par la société pour bénéficier de cette licence.

L’identifiant (Login) et le mot de passe de la plateforme e-learning, doivent être des informations strictement privilégiées et confidentielles de la plus haute sensibilité, sous la responsabilité exclusive du Client. Ils ne peuvent donc être vendus, redistribués ou partagés (cf. inaliénabilité).

Le Client garantit par la présente à la HoT la bonne exécution de cette clause par tout Utilisateur, et sera responsable de toute utilisation frauduleuse ou abusive des codes d'accès. Le Client informera immédiatement la HoT de toute perte ou vol des codes d'accès.

La HoT ne pourra en aucun cas être tenue responsable de toute utilisation frauduleuse de l’identifiant et du mot de passe du Client. En cas de violation de la clause d'inaliénabilité ou dans le cas où un partage des codes d'accès serait avéré, la HoT se réserve le droit d'interrompre le service, sans aucune indemnité ni préavis.

3.3. Durée d’accès aux modules e-learning

Les accès à la formation e-learning sont valables pour la durée formulée dans l’offre de formation (pour des formations sur-mesure) ou dans le descriptif de la formation (pour les formations catalogue), à compter de l’ouverture des droits d’accès aux modules. Passé ce délai, ou en cas de violation des droits d’accès, les accès seront résiliés immédiatement.

Les accès aux modules sont disponibles 24 heures sur 24 et 7 jours sur 7. Il n’y a pas de limitation concernant la durée de chaque connexion, sauf panne éventuelle et/ou spécificités techniques du réseau internet.

Article 4. Dysfonctionnement technique des modules e-learning

Il est entendu par la présente que la HoT ne peut aucunement garantir que le cours e-learning fonctionnera sans interruption ou sans dysfonctionnement technique.

Un dysfonctionnement technique signifie tout bogue, erreur, défaut, incident ou non-conformité des cours e-learning avec sa/leur documentation associée.

Une non-conformité signifie que le contenu des cours e-learning ne répond pas aux exigences du bon de commande.

La HoT ne pourra être tenue responsable des dysfonctionnements dus aux faits suivants :

  • Problèmes techniques dus à l’équipement du Client, y compris difficultés et/ou rupture d’accès internet, inaccessibilité à la plateforme due à un système de pare-feu/antivirus du Client,... ;

  • Utilisation inappropriée de la plateforme par le Client;

  • Cas de force majeure.

Le Client fournira tous les justificatifs relatifs aux vices allégués.

Article 5. Support technique

La HoT fournit un support technique au Client chaque jour ouvré de 8h à 17h.

Article 6. Maintenance

La HoT se réserve la possibilité d’opérer toute manipulation de maintenance de ses serveurs et/ou des plateformes e-learning qu’elle utilise, ayant pour conséquence l’interruption momentanée d’accès aux modules e-learning par le Client. Dans ce cas de figure la HoT s’efforcera :

  • De prévenir le Client au moins 24 heures à l’avance;

  • De limiter le temps d’interruption du service au strict minimum;

  • De prolonger l’accès au module pour une durée correspondant à celle de l’interruption de service.

Le Client ne pourra pas réclamer d’indémnité à ce titre et déclare accepter les limites techniques du service fourni par la HoT. 

Article 17.  Loi applicable et juridiction compétente 

En passant une commande, le Client accepte expressément ces conditions générales de vente, et leur exécution régies par le droit luxembourgeois. 

Les tribunaux du Luxembourg sont seuls compétents.

Conditions contractuelles de la House of Training régissant les offres de « Formations sur mesure »


Préambule

La House of Training, Fondation avec siège statutaire à 7, rue Alcide de Gasperi, L- 1615 Luxembourg, inscrite au Registre de Commerce et des Sociétés de Luxembourg sous le numéro G22, désignée ci-après par « HoT » propose ses services aux entreprises, institutions, fédérations professionnelles et aux particuliers dans le domaine de la formation professionnelle continue.

La HoT est accréditée comme Institut de formation professionnelle par Arrêté ministériel du 16 décembre 2015.

Article 1er. Objet 

Le Client et la HoT (ci-après les « Parties ») se sont rapprochées en vue d’assurer une formation professionnelle continue aux personnes désignées par le Client. 

Les présentes conditions contractuelles, ci-après le « Contrat », s’appliquent à la ou les formation(s) sur mesure faisant l’objet d’une offre de services, ci-après la « Formation ».  

Elles concernent l’inscription à la Formation, la délivrance de la Formation, les modalités de la Formation sous l’égide de la HoT, ainsi que les droits et obligations des Parties contractantes.

Si la formation suivie comprend en partie ou en entier des modules « e-learning », les conditions générales afférentes à cette partie « e-learning » s’appliquent. Celles-ci sont formulées ci-dessous à la suite des présentes conditions.


En signant l’offre de services, le Client accepte les termes des présentes conditions.
Le Contrat prime les autres conditions relatives aux formations éventuellement convenues entre Parties.

Article 2.  Communications

Toutes les communications relatives à l’exécution du présent Contrat se font aux adresses suivantes comme suit :

Pour le Client :

La Formation est détaillée dans l’offre de service.

La Formation pourra être dédiée aux besoins propres du Client ou à un cercle fermé de bénéficiaires.

A ce titre, elle assure la gestion administrative, la tenue de la Formation, la logistique et la gestion financière des activités de formation. Le Client reconnaît avoir pris connaissance du programme de la Formation, et que la HoT ne peut être tenue responsable de quelque manière que ce soit de l’inadéquation du contenu de la Formation par rapport au profil des apprenants individuellement ou collectivement désignés par le Client. La Formation délivrée sous l’égide de la HoT ne saura tenir lieu de conseil ou d’avis juridique.

La HoT est autorisée à sous-traiter partiellement ou totalement l'exécution des prestations objets du présent Contrat. Tous droits et obligations du Client qui en découlent ne valent qu'à l'égard de la HoT laquelle demeure responsable à l'égard du Client de toutes les obligations résultant du présent Contrat.

Les formateurs sélectionnés par la HoT ne sont pas les commettants de la HoT et ne sont pas liés par un contrat de travail à la HoT. 
La HoT maintient un programme d’évaluation interne des formations et des formateurs. Une évaluation des prestations de la HoT et des formateurs de la Formation pourra avoir lieu avec le Client sur une base annuelle, ou à une fréquence plus rapprochée en cas de besoin.

Article 4.   Modalités d'inscription 

La Formation fait l’objet d’une planification entre la HoT et le Client, après l’acceptation de l’offre de service de la HoT par le Client.
Au plus tard dix jours calendrier avant la Formation, le Client communique la liste nominative des participants à la Formation (avec adresses e-mail).

Article 6.   Modalités organisationnelles de formation

De manière générale les contacts préalables entre Parties visent à identifier et établir en commun les besoins de formation du Client, la HoT est toutefois libre d’utiliser les méthodes et outils pédagogiques de son choix qui relèvent de sa seule compétence. Les moyens logistiques peuvent néanmoins être spécifiés dans l’offre de service (ordinateur, projecteur, paperboard, catering, …).
Pour assurer la qualité de la Formation, un nombre minimum et un nombre maximum de participants peut être défini pour chaque formation. 

Sauf indication contraire et/ou cas de force majeure, les formations de la HoT sont assurées au Centre de Formation, sis dans les locaux de la Chambre de Commerce au n° 7, rue Alcide de Gasperi, L-1615 Luxembourg. Les participants aux formations sont tenus de respecter le règlement intérieur des lieux. Si la Formation se déroule hors du Centre de Formation de la Chambre de Commerce, les participants sont tenus de respecter en outre le règlement intérieur de l'établissement d'accueil. 

La HoT se réserve le droit, sans indemnité de quelque nature que ce soit, d'exclure à tout moment, tout participant dont le comportement gênerait au bon déroulement de la formation et/ou manquerait gravement au règlement intérieur.

Article 6.   Prix de la formation

Le prix de la Formation est indiqué en Euros hors TVA, auquel s’ajoute le taux de TVA applicable. 

Les frais liés aux outils, matériels pédagogiques (dont les dossiers documentaires et les supports numériques), location de salle, frais de déplacement et d’hébergement des formateurs sont compris dans le prix sans préjudice de conditions particulières éventuelles de l’offre de services.

Article 8.   Conditions de paiement

Sauf stipulation contraire de l’offre de services, les conditions de paiement suivantes sont d’application. 

Sur base de la demande du Client, la HoT élabore une offre comprenant un devis (reprenant les conditions générales de vente) qu’elle fait parvenir au Client dans les meilleurs délais. L’acceptation de l’offre signée par le Client fait foi de contrat. Sauf indication contraire, les conditions établies dans le devis restent valables 3 mois à partir de la date d’envoi.

Le paiement d’une formation ou d’un cycle de formation commencé est dû dans son intégralité.
Un paiement de 30% de la Formation est à effectuer sur le compte de la HoT au moment de l’acceptation de l’offre de services sur base de la facture d’acompte.

Si le Client ne donne pas suite à l’offre de service validée par les Parties dans un délai de 6 mois, la HoT se réserve le droit de facturer des frais administratifs équivalant à 10% du montant prévu dans l’offre.

A l’issue de la Formation, la HoT adresse au Client une facture finale portant déduction de l’acompte payé.  
Les factures de la HoT sont payables à 30 jours. Aucun escompte n’est accordé.

En cas d’absence ou de retard de règlement, la HoT se réserve le droit de suspendre ou de refuser toute nouvelle formation jusqu’à apurement du compte. 

Article 8.   Annulation, modification ou report des formations par la HoT

La HoT se réserve le droit de remplacer un formateur défaillant par une personne aux compétences techniques et pédagogiques équivalentes, à moins qu’il n’en soit disposé autrement dans l’offre de service.

En cas de force majeure ou d’empêchement du formateur, la HoT se réserve le droit d'annuler, de changer la méthode de formation (présentiel / distanciel) ou de reporter une formation et/ou séance de la Formation. La HoT en informe le Client par courriel, au plus tard cinq jours calendrier avant la date de la Formation, hormis en cas de force majeure survenant dans les 5 jours avant la date de la formation. Dans ce dernier cas, la HoT informe le Client dans les meilleurs délais.

Les Parties détermineront d’un commun accord une nouvelle date de la Formation.

Lorsque le report n'est pas possible à cause d’un empêchement définitif du formateur désigné à titre exclusif dans l’offre de service, la HoT procède au remboursement de l’acompte payé en déduisant ses frais engagés.

Au cas où la formation à reporter ne ferait pas l’objet d’une nouvelle planification dans un délai de six mois, le Client sera remboursé du montant payé pour la formation annulée.

Article 10.  Annulation et report de la Formation par le Client

Le Client peut demander l'annulation ou le report de la Formation et/ou une séance de la Formation.
Si cette demande parvient à la HoT par écrit, au moins trente jours calendrier avant la date de la Formation, seuls les frais engagés au titre de la préparation (préparation par le formateur et l’équipe pédagogique, frais de transports payés, inscription à un e-learning, etc.), seront facturés au Client.

Si cette demande parvient à la HoT entre trente et cinq jours calendrier avant la date de début de la Formation, le Client sera facturé de 30% du prix de la Formation, auquel s’ajoutent les frais engagés au titre de la préparation.

Si cette demande parvient à la HoT moins de cinq jours calendrier avant la Formation et/ou une séance de la Formation, le Client sera facturé de 100% du prix de la Formation, auxquels s’ajoutent les frais engagés au titre de la préparation. 

Article 11.  Attestations et certificats

L'attestation de participation individuelle à une formation est disponible sur le portail Client et/ou sur le portail Apprenant de la HoT.
Les certificats de réussite aux examens sont envoyés au Client par courriel ou par courrier postal. 

Pour des raisons liées à la protection des données personnelles des personnes physiques, le document matérialisant une reconnaissance officielle (certificat, titre, diplôme) transmis à l’issue d’un parcours de formation à la HoT, pourra seulement être dupliqué, sur demande écrite de la personne concernée, pendant une durée maximale de 10 ans à partir de la réussite d’un examen / d’une formation. La HoT ne garde pas ces certificats au-delà de cette période et plus aucun duplicata ne pourra par conséquent être émis ultérieurement.

Article 11.   Propriété intellectuelle, droits d'auteur et droit à l’image

Les supports de cours mis à disposition dans le cadre de la Formation sont la propriété de la HoT ou de l’auteur, suivant le cas. Ils ne peuvent être reproduits partiellement ou totalement sans l'accord exprès de la HoT et/ou de l’auteur. 

L'ensemble des textes, commentaires, ouvrages, illustrations et images reproduits sur ces supports sont protégés par des droits de propriété intellectuelle. Toute autre utilisation par le Client ou les apprenants que celle prévue aux fins de la Formation est soumise à une autorisation préalable de la HoT et/ou de son auteur sous peine de poursuites judiciaires.

Dans une optique de préservation des droits de propriété intellectuelle et du droit à l’image des formateurs et des Clients, il est rigoureusement interdit au Client, respectivement aux apprenants, d’enregistrer ou de filmer les sessions de formation que celles-ci soient en présentiel ou à distance. 

Article 13.  Protection des données

Le Client accepte le traitement de ses données personnelles (ou de celles de ses employés qu’il aurait inscrits à une formation) pour les besoins de l’exécution de sa relation contractuelle avec la HoT. 

Le Client (personne morale) inscrivant des employés de sa société à une formation de la HoT, atteste prendre les mesures nécessaires pour informer ces employés sur le traitement de leurs données personnelles, respectivement de leur avoir fourni les informations légalement requises au cas du transfert de données à la HoT au plus tard à l’inscription à la formation. 

La matière relative à la protection des données fait l’objet d’une note informative spécifique, accessible sous la rubrique « Protection des données personnelles » figurant sur le site internet de la HoT. 

Article 13.  Responsibility

Sans préjudice des articles 4 al. 2 et 4, la HoT pourra être tenue responsable de tout dommage direct subi par le Client et résultant de l’exécution du présent Contrat sous réserve des dispositions suivantes.  

L’indemnité due au Client, en réparation de son préjudice, ne pourra dépasser le montant correspondant aux sommes versées par le Client à la HoT au titre de l’année civile pendant laquelle le dommage a eu lieu.

La HoT ne peut être tenue responsable pour des faits et actes relevant de la responsabilité des formateurs.

La HoT ne peut être tenue responsable de quelque manière que ce soit de l’inadéquation du contenu de la Formation par rapport aux participants désignés par le Client individuellement ou collectivement.

Le Client ne pourra faire valoir une réparation d’un préjudice quelconque résultant d’une annulation d’une Formation par la HoT.

Article 15.  Renonciation

Le fait pour la HoT de ne pas se prévaloir à un moment donné de l’une quelconque des clauses du présent Contrat, ne peut valoir renonciation à se prévaloir ultérieurement de ces mêmes clauses. 

Article 16. Durée du Contrat

Le présent Contrat prend effet à la date de signature par le Client de l’offre et lie les Parties jusqu’à l’extinction des obligations contractuelles de l’offre, exceptées les dispositions des articles 12 et 13 qui restent en vigueur après le terme contractuel. 

Article 17. Réclamations et résiliation du Contrat

Toute réclamation relative à l’exécution du présent Contrat devra être formulée par écrit, respectivement être confirmée par écrit dans un délai de huit jours calendrier après la date de fin de Formation, respectivement de la date de fin du parcours de formation 
Toute réclamation portant sur un examen devra être formulée par écrit dans un délai de huit jours calendrier après l’obtention des résultats de l’examen. Le courrier doit faire l’objet d’un accusé de réception pour être valable.

Les Parties s’engagent à rechercher un règlement à l’amiable pour tout différend résultant de l’exécution du présent Contrat. Toute contestation qui n'aurait pas été réglée dans le délai de trois mois pourra être portée devant les tribunaux de Luxembourg et justifier une résiliation du Contrat.

Article 18.  Nullité d’une clause

Si l’une quelconque des dispositions du présent Contrat devait être nulle ou déclarée telle par un tribunal, cette nullité n’entraînerait pas la nullité des autres dispositions du Contrat qui demeureront en vigueur. Les Parties s’engagent à négocier de bonne foi pour substituer une solution équivalente à la clause nulle.

Article 19. Loi applicable et juridiction compétente 

Le présent Contrat et son exécution sont régis par le droit luxembourgeois. 
Les tribunaux du Luxembourg sont seuls compétents.

General Terms and Conditions of House of Training (HoT) governing registrations for "catalogue" training  

Preamble 

House of Training, a foundation having its registered office at 7, rue Alcide de Gasperi, L-1615 Luxembourg, registered in the Luxembourg Trade and Companies Register under number G22, hereinafter referred to as "HoT", offers its services to businesses, institutions, professional federations and private individuals in the field of continuing vocational training. 

HoT is accredited as a vocational training body by Ministerial Decree dated 16 December 2015.

The training offered by HoT includes a wide range of courses open to the public, details of which are available for consultation on its regularly updated website, hereinafter referred to as "off-the-shelf training". 

Article 1. Subject-matter and scope 

These general terms and conditions, hereinafter referred to as the "General Terms and Conditions", are applicable to registrations for off-the-shelf training courses, the delivery of those courses, the modalities of those courses under the auspices of HoT, and the rights and obligations of HoT and of the Client. A Client may be a corporate entity that registers its employees for a training course, or a natural person who registers him/herself for such training. Such employees and private individuals are hereinafter collectively referred to as “learners”. 

By registering for a training course, the Client certifies that he/she/it has read the General Terms and Conditions and will adhere to them for the duration of the contractual relationship associated with the off-the-shelf training courses.

If the training includes e-learning modules in whole or in part, the General Terms and Conditions for the e-learning part shall apply. These are set out below, following these General Terms and Conditions.

The HoT reserves the right to revise the General Terms and Conditions, the updated version of which will be published on the HoT’s website.

These General Terms and Conditions shall be applicable without prejudice to any specific contractual conditions relating to training agreed with the Client, which shall take precedence over the present General Terms and Conditions. 

Article 2.  Communications 

All communications by the Client relating to any registration for training must be sent in writing, either via e-mail or by post, to the following HoT address:

Communications from HoT to the Client shall be sent via e-mail, by post or through any other communication channel that permits information to be transmitted in writing. 

Article 3.   Remit and duties of the House of Training 

HoT is the manager and coordinator of all off-the-shelf training. In that capacity, it handles administrative management, the delivery of the training, logistics and the financial management of training activities. In particular, it is in charge of the relationship with the trainer, the planning of the training, room reservations, registrations and confirmations, the supervision of both trainers and Clients, examinations where relevant, and the issuance of attestations and certificates.  

The Client acknowledges that he/she/it is aware of the off-the-shelf training programme, and that HoT cannot be held responsible in any way for any inadequacy of the content of the training in relation to the profile of the learners, either individually or collectively, as designated by the Client. Training delivered under the auspices of HoT cannot be a substitute for seeking and obtaining legal advice or a legal opinion. 

HoT is authorised to subcontract, wholly or in part, the delivery of the services covered by this contract. All rights and obligations of the Client resulting therefrom shall be valid only in relation to HoT, which shall remain responsible to the Client for fulfilment of all its obligations under this contract. 

Trainers selected by HoT are not principals of HoT and are not bound to HoT by any employment contract.  

HoT shall maintain an internal appraisal programme for both training courses and trainers.  

Article 4.   Registration process  

Registration for off-the-shelf training shall be done online via HoT’s website or in writing, subject to HoT’s agreement and subject to the availability of places, at:

An acknowledgment of receipt of the request for registration shall be sent by HoT to the Client's e-mail address (and to the learner if different from the Client).  

Five calendar days before the date of the training, the Client (and the learner if different from the Client) shall receive by e-mail a confirmation of the session and of the registration along with practical information relating to the training, including the precise timetable and the location at which it is to take place. 

Article 5.   Training modalities 

HoT shall be free to use such teaching methods and tools as it may think fit, in its sole discretion. 

To ensure the quality of the training, a minimum and a maximum number of participants may be set for each course.  

The duration of the training courses/sessions shall be specified on HoT’s website.  

Unless otherwise indicated or in the case of force majeure, HoT’s off-the-shelf training shall be delivered at the Training Centre located in the premises of the Chamber of Commerce at 7, rue Alcide de Gasperi, L-1615 Luxembourg. Participants shall be required to respect the internal rules of the premises. Where training takes place at a location other than the Training Centre of the Chamber of Commerce, participants must also respect the internal rules of the host establishment.  

HoT reserves the right, without being required to pay compensation of any kind whatsoever, at any time to exclude any participant whose behaviour prevents the training from being conducted in an orderly fashion and/or who seriously infringes the internal rules. 

Article 6.   Training prices 

The prices of the off-the-shelf training courses are displayed on HoT’s website. 

The price of an individual training course/session or of a training programme, once commenced, shall be payable in its entirety. 

The costs in respect of tools, teaching materials (including documentary files and digital media), room rental, travel expenses and accommodation for trainers are included in the price of the catalogue training. 

Article 7.  Payment terms 

Payment for off-the-shelf training shall be made by credit card when registering online on the aforementioned HoT website, based on the price of the training as displayed on that website.  

At the written request of the Client, and subject to the agreement of HoT, payment may also be made by bank transfer to HoT's account on the basis of an electronic invoice issued by HoT. Invoices shall be payable within 30 days from the invoice date. 

Any request for modification of a billing address made after the issuance of the initial invoice shall give rise to an additional administrative fee of 45 euros. 

Article 8.   Cancellation, modification or postponement of training by HoT 

HoT reserves the right to replace a non-available trainer with a person possessing equivalent technical and teaching skills. 

In cases of force majeure or unavailability of a trainer, or where the number of participants is insufficient, HoT reserves the right to cancel, to change the training method (face-to-face/distance learning) or to postpone an off-the-shelf training course or session. HoT shall inform the Client to that effect by e-mail no later than five calendar days prior to the starting date of the training, except in a case of force majeure occurring within five days before the date of the training, in which latter event HoT shall inform the Client as quickly as possible.  

Where training that has been postponed will not be re-scheduled within six months, the amount paid for the cancelled training shall be reimbursed to the Client. 

Article 9.   Cancellation, postponement of participation or replacement of the participant by the Client 

The Client may, by e-mail, cancel a training registration free of charge within 14 calendar days after the date of registration, without prejudice to the provisions set out below regarding the scheduled training dates.  

The Client may also request, by e-mail, the cancellation of his/her participation in a training course, free of charge, if the request, to be made by e-mail, reaches HoT at least 10 calendar days prior to the starting date of the training. In that event, the Client will be refunded the amount paid. 

In the two cases described in the first and second paragraphs above, the Client shall be required to reimburse to HoT any costs and expenses already incurred by the latter (e.g. registration on an e-learning platform).  

If the cancellation occurs less than 10 calendar days prior to the starting date of the training, HoT will charge the Client 100% of the price of the off-the-shelf training. 

In all cases, the HoT will issue an acknowledgment of receipt for the Client's cancellation requests.

In any case of non-attendance at the training, late arrival, partial participation, abandonment or early termination for any reason other than duly established force majeure, the Client shall be liable to pay the full amount for the training. 

In the event of absence due to health reasons, duly substantiated by a medical certificate, or in exceptional circumstances (personal drama, moving abroad, a career change), received/announced within 5 calendar days following the date of the absence, the Client (or the defaulting participant where the Client is a corporate entity) may postpone his/her/its registration to the next scheduled session, or the Client may request reimbursement of the price paid for the training. In the case of absence without a medical certificate, the Client shall be liable to pay the full amount of the price of the training. 

A Client which is a corporate entity may request, by e-mail, the replacement of a participant or the postponement of a learner's participation to another training session, already listed in the schedule accessible on the website, 24 hours prior to the start of the training. The replacement or postponement request must be sent to HoT by e-mail and must state the contact details of the replacement person and of the person being replaced or the date of the training session to which the registration is to be postponed. HoT will charge an administrative fee of 45 euros for this change. 

A Client who is a natural person may request, by e-mail, that his/her participation be postponed to another training session, already listed in the schedule available on the website, 24 hours prior to the start of the training. The replacement or postponement request must be sent to HoT by e-mail and must indicate the date of the training session to which the registration is to be postponed. HoT will charge an administrative fee of 45 euros for this change. 

Article 10.   Postponement of an examination by the Client 

The Client may request the postponement of an examination for which he/she is registered and in which he/she is unable to take part, in the event of unforeseen circumstances (force majeure, sickness duly substantiated by a medical certificate). He/she will be charged 50 euros to cover HoT's administrative costs. 

Article 11.   Attestations and certificates 

An individual certificate of participation in an off-the-shelf training course will be made available on HoT‘s Client Portal and/or Learner’s Portal. 

Where the learner has been registered by a corporate Client (i.e. his/her employer), certificates confirming the passing of an examination, and/or the marks awarded to the learner, shall be sent, at the option of the corporate Client, to the Client and/or to the learner, if specifically requested in advance, via e-mail, by post or through any other communication channel that permits information to be transmitted in writing. 

For reasons linked to protection of the Client's personal data, duplicates of documents issued to a learner at the end of an HoT training course, officially recognising the results thereof (certificates, attestations, diplomas), may only be issued, upon written request by the person concerned, during a period of 10 years from the date of the successful completion of the examination/training in question. HoT does not keep such documents for more than 10 years; consequently, duplicates cannot be issued after that period has expired.  

Article 12.   Intellectual property, copyright and image rights 

Course materials made available to the Client as part of the off-the-shelf training are the property of HoT or of the author, as the case may be. They may not be reproduced, wholly or in part, without the explicit consent of HoT and/or of the author.  

All of the texts, comments, works, illustrations and images reproduced on or in those materials are protected by intellectual property rights. Any use of those materials by the Client or by learners other than for training purposes shall require the prior consent of HoT and/or the author thereof, failing which court proceedings may be brought. 

With a view to preserving the intellectual property rights and image rights of trainers and participants, Clients and learners are strictly forbidden to record or film training sessions, whether these take place on a face-to-face basis or remotely.  

Article 13.   Data protection 

The Client agrees to the processing of his/her personal data (or, where the Client is a corporate entity, personal data of its employees registered by it for training) for the purposes of performance of the contractual relationship with HoT.  

Where a corporate Client registers its employees for an HoT training course, it warrants that it will take all necessary measures to inform those employees about the processing of their personal data and that it will have provided them, by no later than the time when it registers them for the training, with all information legally required in the case of a transfer of data to HoT.  

The subject of data protection is dealt with in a specific information note, accessible under the heading “Data Protection”, on HoT's website.  

Article 14.   Liability 

Without prejudice to the second and fourth paragraphs of Article 3, HoT may be held liable for any direct loss or damage suffered by the Client arising from performance of this contractual relationship, subject to the following provisions. 

The compensation payable to the Client for any loss or damage suffered by the latter may not exceed the amount of the sums paid by the Client to HoT for the calendar year during which the loss and/or damage occurred. 

HoT may not be held responsible in any way for any inadequacy of the content of the off-the-shelf training with respect to the participants designated by the Client, either individually or collectively. 

The Client may not demand compensation for any loss or damage resulting from the cancellation by HoT of any off-the-shelf training. 

Article 15.   Waiver 

The fact of HoT choosing at given time not to rely on a given clause of this contract shall not be deemed to constitute a waiver of its right to subsequently rely on the clause in question.  

Article 16.   Nullity of a clause

In the event that any provision of these General Terms and Conditions proves to be, or is declared by a court to be, null and void, such nullity shall not bring about or result in the nullity of the other provisions, which shall remain in force.  

Article 17. Complaints  

All complaints relating to the delivery of off-the-shelf training or the application of these General Terms and Conditions must be made in writing within 8 calendar days following the end date of the training/training programme in question. In order for a complaint to be treated as having been validly made, there must be an acknowledgment of receipt of the written communication thereof.  

Any complaint relating to an examination must be made in writing within 8 calendar days after the examination results have been released. In order for a complaint to be treated as having been validly made, there must be an acknowledgment of receipt of the written communication thereof. 

Article 18.  Applicable law and jurisdiction  

These General Terms and Conditions, and their application, are governed by Luxembourg law.  

The courts of Luxembourg shall have exclusive jurisdiction to hear and determine disputes arising hereunder.

General Terms and Conditions specifically governing use of the House of Training’s “e-learning” modules 

Preamble

Where a Client of the House of Training (HoT) – being a legal person registering its employees or a natural person signing up for an individual course of training at his/her expense – subscribes for such training and thereby agrees to comply with and adhere to the General Terms and Conditions of Sale governing the Provision of Off-the-Shelf and/or Customised Training, that Client shall be bound to respect the conditions set out below if the training in question includes e-learning modules.

Where the Client is a legal person registering its employees for an HoT training course, it shall inform the employees concerned of its rights and obligations provided for by these general terms and conditions. In signing up to the creation of a contractual relationship with HoT, the Client assumes and accepts responsibility for the acts of its employees vis-à-vis HoT.

Article 1. Scope of the general terms and conditions specifically governing the use of e-learning modules

The training course requested by the Client may include e-learning training modules. Where such modules form part of the training, details thereof will appear in the catalogue or in the training offer.

Accordingly, the present general terms and conditions apply to the e-learning training modules comprised in the training catalogue or in the offer of customised training sent to the Client. The act of subscribing for a course of customised training, or registering for a course of off-the-shelf training, comprising e-learning modules automatically entails full and comprehensive agreement by the Client (and by the learner if he/she is not him/herself the Client) to the present general terms and conditions, without prejudice to the General Terms and Conditions governing the Provision of Off-the-Shelf and/or Customised Training.

Article 2. Price conditions

The fees connected with registration on an external e-learning platform are included in the price indicated or, as the case may be, in the offer to provide customised services. 

As stipulated in the General Terms and Conditions governing the provision of off-the-shelf and customised training, in the event of cancellation of a training course which includes an e-learning module, the expenses incurred by HoT in respect of registration for that module shall be payable in their entirety.

Article 3. Modalities in relation to use of the “e-learning” service

3.1. Technical prerequisites

The Client shall be required to ensure, both prior to and throughout any use of the service, that his/her/its technical environment (including the correct setting and calibration of the firewall/antivirus systems) is fully and permanently compatible with the e-learning platform specified by HoT. The Client shall not be entitled to rely on or plead, as against HoT, any technical incompatibility, in particular any incompatibility which may give rise to the blocking or freezing of our platform (for example as a result of the Client's security system evaluating the e-learning platform as a potentially harmful attempt at “phishing”), resulting in an inability to access the training modules.

3.2. Right to make personal use of the licence and inalienability

Save as may be otherwise expressly stipulated by special provisions covering, in particular, associated companies comprised within one and the same group of companies, the licence to use e-learning courses is granted solely to the Client who has signed the order form. Where the Client is a legal person forming part of a group of companies, the licence may only be used by the company which signed the document offering the training (and/or the contract, as the case may be), more particularly by the natural person designated by the company as the person who is to enjoy the benefit of that licence.

The identifier (login) and password in respect of the e-learning platform shall be deemed to constitute strictly privileged and confidential information of the utmost sensitivity, under the sole responsibility of the Client. Consequently, they may not be sold, passed on or shared (that is to say, they are inalienable).

The Client hereby warrants to HoT that this clause will be properly implemented and respected by all Users, and undertakes to accept full responsibility for any fraudulent or improper use of the access codes. The Client shall inform HoT immediately of any loss or theft of the access codes.

HoT shall not in any circumstances be held responsible for any fraudulent use of the Client's login and password. In the event of any breach of the inalienability clause, or in the event that any sharing of codes is found to have occurred, HoT reserves the right to suspend the service, without being required to pay any compensation or to give any prior notice.

3.3. Duration of access to the e-learning modules

Access to the e-learning training shall be valid for the term specified in the training offer (in the case of customised training) or in the description of the training (in the case of off-the-shelf training), as from the opening-up of the rights of access to the modules. Upon the expiry of that term, or in the event of any breach of the rights of access, access shall be withdrawn and will cease forthwith.

Access to the modules shall be available 24 hours a day, 7 days a week. There shall be no limit to the duration of each connection, save in the case of a breakdown or malfunction and/or by reason of specific technical aspects of the internet network.

Article 4. Technical malfunctioning of the e-learning modules

It is hereby understood and agreed that HoT cannot in any way guarantee that the e-learning course will run without any interruption or technical malfunction.

The term “technical malfunction” shall be taken to mean any bug, error, fault, incident or non-conformity of the e-learning course(s) with the documentation relating thereto.

The term “non-conformity” signifies any situation in which the content of the e-learning course(s) does not meet the requirements laid down in the relevant order.

HoT shall not be responsible for any malfunction arising or resulting from:

  • technical problems attributable to the Client's equipment, including difficulties in accessing the internet or a breakdown of access thereto and/or inability to access the platform by reason a firewall/antivirus system of the Client, etc.;

  • improper use of the platform by the Client;

  • force majeure.

The Client shall provide comprehensive documentary evidence relating to the defects alleged.

Article 5. Technical support

HoT shall provide the Client with technical support each working day between the hours of 08.00 to 17.00.

Article 6. Maintenance

HoT reserves the right to carry out any maintenance works in relation to its servers and/or the e-learning platforms used by it which may result in any temporary interruption of access by the Client to the e-learning modules. In such a case, HoT shall endeavour:

  • to notify the Client at least 24 hours in advance;

  • to limit the duration of the service interruption to the absolute minimum;

  • to prolong access to the module for a period corresponding to that of the service interruption.

The Client may not claim any compensation in this respect, and agrees to accept the technical limitations of the service provided by HoT. 

Article 7. Applicable law and competent jurisdiction 

By placing an order, the Client expressly accepts and agrees to these General Terms and Conditions of Sale and the performance thereof, which shall be governed by Luxembourg law. 

The courts of Luxembourg shall have exclusive jurisdiction to hear and determine disputes arising hereunder.

House of Training's Contractual Terms and Conditions governing the offers of "customised" training


Preamble

House of Training, a foundation having its registered office at 7, rue Alcide de Gasperi, L-1615 Luxembourg, registered in the Luxembourg Trade and Companies Register under number G22, hereinafter referred to as "HoT", offers its services to businesses, institutions, professional federations and private individuals in the field of continuing vocational training.

The HoT is accredited as a Vocational Training Institute by Ministerial Decree dated December 16, 2015.

Article 1. Subject-matter 

The Client and HoT (hereinafter referred to as the "Parties") have been in contact with a view to arranging for the provision of continuing vocational training to the persons designated by the Client. 

These contractual terms and conditions, hereinafter referred to as the "Contract", apply to the customised training course(s) forming the subject of an offer of services, hereinafter referred to as "Training".   

They are applicable to registrations for Training courses, the delivery of those Training courses, the modalities of those Training courses under the auspices of HoT, and the rights and obligations of the contracting Parties.

If the training includes e-learning modules in whole or in part, the General Terms and Conditions for the e-learning part shall apply. These are set out below, following these General Terms and Conditions.

By signing the offer of services, the Client accepts and agrees to these terms and conditions.

The Contract takes precedence over any other conditions concerning training that may be agreed between the Parties.

Article 2.  Communications

All communications relating to the performance of this Contract shall be sent to the following addresses:

For the Client:
Communications from HoT to the Client shall in principle be sent by e-mail or by post to the address indicated by the Client, or by any other communication channel that permits information to be transmitted in writing.

Article 3.   The Training

Details of the Training are set out in the offer of services.

The Training may be tailored to the Client's own needs or to a closed circle of recipients.

Article 4.   Remit and duties of the House of Training

HoT acts as the manager and coordinator of the Training. In that capacity, it handles administrative management, the delivery of the Training, logistics and the financial management of training activities. In particular, it is in charge of the relationship with the trainer, the planning of the Training, room reservations (where necessary), registrations and confirmations, the supervision of trainers and the Client, examinations where relevant, and the issuance of attestations and certificates. 

The Client acknowledges that he/she/it is aware of the Training programme, and that HoT cannot be held responsible in any way for any inadequacy of the content of the Training in relation to the profile of the learners, either individually or collectively, as designated by the Client. Training delivered under the auspices of HoT cannot be a substitute for seeking and obtaining legal advice or a legal opinion.

HoT is authorised to subcontract, wholly or in part, the delivery of the services covered by this Contract. All rights and obligations of the Client resulting therefrom shall be valid only in relation to HoT, which shall remain responsible to the Client for fulfilment of all its obligations under this Contract.

Trainers selected by HoT are not principals of HoT and are not bound to HoT by any employment contract. 

HoT shall maintain an internal appraisal programme for both training courses and trainers. An appraisal of the services supplied by HoT and by the trainers providing the Training may be carried out with the Client on an annual basis or, where necessary, more frequently.

Article 5.   Registration process 

The Training shall be the subject of planning between HoT and the Client, following acceptance by the Client of HoT's offer of services.

By no later than 10 calendar days before the Training, the Client shall communicate the list of names of the persons participating in the Training (with e-mail addresses).

Article 6.   Organisational training modalities

The purpose of the preliminary contacts between the Parties shall, in general, be to jointly identify and establish the Client's training needs, but HoT shall be free to use such teaching methods and tools as it may think fit, in its sole discretion. None the less, the logistical resources to be used may be specified in the offer of services (computer, projector, flipchart, catering, etc.).

To ensure the quality of the Training, a minimum and a maximum number of participants may be set for each course. 

Unless otherwise indicated or in the case of force majeure, HoT’s trainings shall be delivered at the Training Centre located in the premises of the Chamber of Commerce at 7, rue Alcide de Gasperi, L-1615 Luxembourg. Participants shall be required to respect the internal rules of the premises. Where Training takes place at a location other than the Training Centre of the Chamber of Commerce, participants must also respect the internal rules of the host establishment. 

HoT reserves the right, without being required to pay compensation of any kind whatsoever, at any time to exclude any participant whose behaviour prevents the training from being conducted in an orderly fashion and/or who seriously infringes the internal rules.

Article 7.   Training prices

The price of the Training is stated in euros exclusive of VAT, to which VAT shall be added at the applicable rate. 

The costs in respect of tools, teaching materials (including documentary files and digital media), room rental, travel expenses and accommodation for trainers are included in the price, without prejudice to any special conditions stipulated in the offer of services.

Article 8.   Payment terms

Save in so far as otherwise stipulated in the offer of services, the following payment conditions shall apply. 

At the request of the Client, HoT shall draw up an offer comprising a quote (setting out the general conditions of sale) and send this to the Client without delay. The acceptance of the offer, signed by the Client, shall be authoritative as regards the existence of a binding contract.

Save in so far as otherwise stipulated, the terms laid down in the quote shall remain valid for three months from the date of despatch.

The price of a training course or of a training cycle, once commenced, shall be payable in its entirety.

Payment of 30% of the price of the Training shall be made to HoT's account at the time of acceptance of the offer of services, on the basis of the down-payment invoice.

If the Client does not follow up on the offer of services as validated by the Parties within six months, HoT reserves the right to charge administrative costs equivalent to 10% of the amount provided for in the offer.

At the end of the Training, HoT shall issue to the Client a final invoice from the amount of which the amount of the down payment shall be deducted.  

HoT's invoices shall be payable within 30 days. No discount shall be granted.

In the event that any invoice is not paid or is paid late, HoT reserves the right to suspend or refuse to deliver any further training until the account is settled in full. 

Article 8.  Cancellation, Modification or Postponement of a Training by the HoT

HoT reserves the right to replace a non-available trainer with a person possessing equivalent technical and teaching skills, unless otherwise provided in the offer of services.

In cases of force majeure or unavailability of a trainer, HoT reserves the right to cancel, to change the training method (face-to-face/distance learning) or to postpone a Training course or session. HoT shall inform the Client to that effect by e-mail no later than five calendar days prior to the starting date of the training, except in a case of force majeure occurring within five days before the date of the training, in which latter event HoT shall inform the Client as quickly as possible. 

The Parties shall by mutual agreement determine a new date for the Training.

Where the Training cannot be put back by reason of permanent unavailability of the trainer exclusively designated in the offer of services, HoT shall repay the down payment, deducting therefrom the costs and expenses that it has incurred.

Where Training that has been postponed will not be re-scheduled within six months, the amount paid for the cancelled training shall be reimbursed to the Client.

Article 10.  Cancellation or postponement of Training by the Client

The Client may request that the Training and/or a Training session be cancelled or put back.

If a written request to that effect is received by HoT at least 30 calendar days before the date of the Training, only the costs and expenses incurred in respect of preparation (preparation by the trainer and the teaching team, transport costs already paid, registration on an e learning platform, etc.) shall be charged to the Client.

If such a request is received by HoT between 30 and 5 calendar days before the date of the start of the Training, the Client shall be charged 30% of the price of the Training, to which shall be added costs and expenses incurred in respect of preparation.

If such a request is received by HoT less than 5 calendar days before the date of the Training and/or a Training session, the Client shall be charged 100% of the price of the Training, to which shall be added costs and expenses incurred in respect of preparation. 

Article 11.  Attestations and certificates

An individual certificate of participation in a training course will be made available on HoT's Client Portal and/or Learner’s Portal.
Certificates of success in examinations shall be sent to the Client by e-mail or by post. 

For reasons linked to protection of the personal data of natural persons, duplicates of documents at the end of an HoT training course, officially recognising the results thereof (certificates, attestations, diplomas), may only be issued, upon written request by the person concerned, during a period of 10 years from the date of the successful completion of the examination/training in question. HoT does not keep such documents for more than 10 years; consequently, duplicates cannot be issued after that period has expired.

Article 12.  Intellectual property, copyright and image rights

The course materials made available in the context of the Training are the property of HoT or of the author thereof, as the case may be. They may not be reproduced, wholly or in part, without the explicit consent of HoT and/or of the author. 

All of the texts, comments, works, illustrations and images reproduced on or in those materials are protected by intellectual property rights. Any use thereof by the Client or by learners other than for Training purposes shall require the prior consent of HoT and/or the author thereof, failing which court proceedings may be brought.

With a view to preserving the intellectual property rights and image rights of trainers and Clients, Clients and learners are strictly forbidden to record or film training sessions, whether these take place on a face-to-face basis or remotely.

Article 12.  Data Protection

The Client agrees to the processing of his/her personal data (or, where the Client is a corporate entity, personal data of its employees registered by it for training) for the purposes of performance of the contractual relationship with HoT. 

Where a corporate Client registers its employees for an HoT training course, it warrants that it will take all necessary measures to inform those employees about the processing of their personal data and that it will have provided them, by no later than the time when it registers them for the training, with all information legally required in the case of a transfer of data to HoT. 

The subject of data protection is dealt with in a specific information note, accessible under the heading “Data Protection”, on HoT's website. 

Article 14.  Liability

Without prejudice to the second and fourth paragraph of Article 4, HoT may be held liable for any direct loss or damage suffered by the Client arising from performance of this Contract, subject to the following provisions.

The compensation payable to the Client for any loss or damage suffered by the latter may not exceed the amount of the sums paid by the Client to HoT for the calendar year during which the loss and/or damage occurred.

HoT cannot be held liable for any fact or matter falling within the responsibility of the trainers.

HoT may not be held responsible in any way for any inadequacy of the content of the Training with respect to the participants designated by the Client, either individually or collectively.

The Client may not demand compensation for any loss or damage resulting from the cancellation by HoT of any Training.

Article 14.  Waiver

The fact of HoT choosing at given time not to rely on a given clause of this Contract shall not be deemed to constitute a waiver of its right to subsequently rely on the clause in question. 

Article 16. Duration of the Contract

This Contract shall take effect on the date of signature of the offer by the Client, and shall be binding on the Parties until extinction of the contractual obligations laid down in the offer, except for the provisions of Articles 12 and 13, which shall remain in force after expiry of the contractual term. 

Article 17. Complaints and termination of the Contract

All complaints relating to the performance of this Contract must be made in writing within 8 calendar days following the end date of the Training/Training programme in question. 

Any complaint relating to an examination must be made in writing within 8 calendar days after the examination results have been released. In order for a complaint to be treated as having been validly made, there must be an acknowledgment of receipt of the written communication thereof.

The Parties undertake to endeavour to amicably settle any dispute arising from the performance of this Contract. Any dispute that has not been resolved within three months may be brought before the courts of Luxembourg and may justify terminating the Contract.

Article 15.  Nullity of a Clause

In the event that any provision of this Contract proves to be, or is declared by a court to be, null and void, such nullity shall not bring about or result in the nullity of the other provisions, which shall remain in force. The Parties undertake to negotiate in good faith in an attempt to find a substitute solution equivalent to the provision found to be null and void.

Article 19. Applicable law and jurisdiction 

This Contract, and the performance hereof, are governed by Luxembourg law. 

The courts of Luxembourg shall have exclusive jurisdiction to hear and determine disputes arising hereunder.
